Terms of Service
Effective date: November 6, 2026 · LocalDesk · 305 East Mary St, Bessemer, MI
These Terms of Service (“Terms”) are a binding agreement between you and LocalDesk (“we,” “us,” or “our”) governing your use of localdeskhq.com, this website, audit request forms, emails, and any website, SEO, Google Business Profile, advertising, AI chat, AI phone, or related services we provide (the “Service”). By accessing the site, submitting a form, or purchasing or using the Service, you agree to these Terms in full. If you do not agree, do not use the Service.
Important: LocalDesk provides digital marketing and support services. We do not guarantee rankings, traffic, leads, calls, sales, revenue, or any particular business result. Outcomes depend on your market, competition, pricing, reputation, response time, advertising spend, platform rules, and many factors outside our control. Examples, package names, and process descriptions are not promises.
1. Who we are
LocalDesk is a service brand operated independently from any other ventures we or our operators may run. Contact: angelo@localdeskhq.com · 305 East Mary St, Bessemer, MI.
2. Eligibility
You must be at least 18 years old and able to form a binding contract on behalf of yourself or the business you represent. You represent that information you provide is accurate.
3. Statements and audits
A free or paid audit is an opinion based on publicly visible information and what you share with us. It is not legal, accounting, or engineering advice, not a complete technical penetration test, and not a promise that listed issues are the only issues. We may decline work, including where a market, niche, or county is already reserved or is not a fit.
4. Services; no results guarantee
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” Package descriptions on the website summarize typical scope. The written proposal, invoice, or order confirmation controls if there is a conflict. We may use employees, contractors, and software (including artificial intelligence) to perform the work.
No performance guarantee. We do not warrant that your business will appear in any map pack, search result, or AI answer, that ads will produce a given cost per lead, or that chat or phone systems will capture every inquiry. Platform changes (including Google, Meta, carriers, and app stores) can reduce or remove visibility without notice.
5. Your responsibilities
- You own and will keep owning your domain, website hosting logins, Google accounts (including Business Profile, Analytics, Search Console, and ads), Meta accounts, phone numbers, and CRM, unless a document expressly says otherwise.
- You must provide timely access, approvals, photos, pricing rules, service-area details, and legal disclosures we need to do the work. Delays on your side extend timelines.
- You are responsible for the truth of information published about your business, for licenses and insurance claims, and for complying with advertising, telemarketing, SMS (including TCPA and carrier A2P rules), privacy, and consumer laws.
- You will review AI-drafted copy, replies, chat behavior, and voice scripts before they go live, or you accept the risk of publishing without review if you ask us to proceed without it.
- You will not ask us to post fake reviews, hide negative reviews in a deceptive way, buy links or traffic in violation of platform rules, or make false claims.
6. AI-generated content and voice
Parts of the Service use artificial intelligence for writing, chat, phone answering, and reports. AI output can be inaccurate, incomplete, or off-brand. Voice and chat systems should be disclosed as automated where required or appropriate. We are not liable for AI mistakes, missed calls, incorrect quotes, platform penalties, or statements a caller or visitor relies on, except to the extent a non-waivable law says otherwise.
7. Advertising spend
Unless an order says otherwise, you pay Google, Meta, and other platforms directly from accounts in your name. We do not mark up media spend. Recommended minimum spend figures are budgets, not promises that a budget will produce a result. Platform charges are between you and the platform.
8. Payments
Setup fees and retainers are due as stated on the invoice or checkout page. Recurring fees bill in advance. Late amounts may result in pause or termination of work. You authorize us (or our payment processor) to charge the payment method you provide. Prices on the website may change; the price in your accepted order applies to that term.
9. Fees earned; refunds
Fees are earned when paid, except where a written order says otherwise or where a statute requires a refund. Because work and access begin when we start setup, we do not offer a standing refund, money-back, or “results” guarantee.
Refunds are provided only where required by applicable law, or at our sole discretion. Asking for a refund does not create a right to one. If we issue a refund in a specific case, that does not change these Terms for anyone else or create a policy.
10. Term and cancellation
Each package’s initial term (if any) and notice period are as stated on the order. After that, either party may cancel with the notice stated there (or 30 days’ written notice if the order is silent). We may suspend or end the Service immediately for non-payment, abuse, illegal instructions, chargebacks, or platform risk. You keep accounts and paid-for content that already lives in your properties; our internal tools, prompts, templates, and processes remain ours.
11. License
We grant you a limited license to use deliverables we create for your own business once they are paid for. You may not resell our systems, prompts, audit templates, or this website’s design as a competing product without our written consent.
12. Acceptable use
You agree not to use the Service for unlawful, fraudulent, harassing, or infringing activity; not to probe, scrape, or overload this website; and not to misrepresent your relationship with LocalDesk or claim that we guarantee results.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THIRD-PARTY SERVICES, INCLUDING GOOGLE, META, CLOUDFLARE, CARRIERS, HOSTING, ANALYTICS, OR PAYMENT PROCESSORS.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALDESK AND ITS OWNERS, OPERATORS, AFFILIATES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, LEADS, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE CLAIM. IF YOU HAVE NOT PAID US, OUR TOTAL LIABILITY IS ZERO. Some jurisdictions do not allow certain limitations; there, our liability is limited to the fullest extent allowed.
15. Indemnification
You agree to defend, indemnify, and hold harmless LocalDesk and its owners, operators, affiliates, and providers from claims, damages, losses, liabilities, costs, and reasonable attorneys’ fees arising out of or related to: (a) your business, content, ads, calls, texts, or customer disputes; (b) information you provided; (c) your violation of law or third-party rights or platform rules; or (d) your violation of these Terms.
16. Binding individual arbitration; class action waiver
Please read this carefully. It affects your legal rights.
Except for small-claims court actions and claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Rules if Consumer Rules do not apply). The arbitration will take place in Michigan or by video or phone as the arbitrator allows. Judgment on the award may be entered in any court with jurisdiction.
Class action waiver. You and we agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims without all parties’ consent.
If you are a consumer, you may opt out of arbitration within 30 days of first accepting these Terms by emailing angelo@localdeskhq.com with your name, email, and a clear statement that you opt out of arbitration. Opting out does not affect other Terms.
17. Governing law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration section. Subject to arbitration, exclusive venue for permitted court actions is the state or federal courts located in Michigan, and you consent to personal jurisdiction there.
18. Changes
We may change these Terms by posting an updated version and changing the effective date. Continued use after changes means you accept the new Terms. If you do not agree, stop using the Service.
19. Miscellaneous
- These Terms plus our Privacy Policy and any accepted order are the entire agreement about the Service.
- If a provision is unenforceable, the rest remains in effect; the unenforceable part will be modified only as needed to make it enforceable.
- Our failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them.
- Headings are for convenience only.
